Shop My Closet Rental & Consignment Agreement
This Rental & Consignment Agreement (“Agreement”) is made as of the date of booking, between the individual seller (“Seller”) and Shop My Closet. LLC, a Minnesota limited liability company (“Shop My Closet” or “SMC”).
1. Closet Rental Terms:By booking a closet with Shop My Closet, Seller agrees to rent a designated closet space at retail location #1150 inside Seven Points Mall (3001 Hennepin Avenue, Minneapolis, MN 55408), for a one-week term, beginning on Saturday (setup time is at 9:00 AM) and ending on Friday (take-down time is at 7:00 PM). The store is closed on Mondays and Tuesdays, but Seller items will remain available during all other days the store is open.
2. Rental Fee and Payment:The standard weekly rental fee is $55. Payment is due in full at the time of renting and is non-refundable, regardless of sales performance or early removal. Shop My Closet does not guarantee sales or profit as a result of renting a closet. All sales outcomes depend on item quality, pricing, presentation, and customer demand.
3. Included Services: As part of the rental, Shop My Closet will provide:
A closet space with shelving and hangers
A tagging kit including a tagging gun, tagging barbs, blank sales tags, shopping bags, and more.
On-site staff to manage all shopper transactions
Dressing rooms and boutique-style retail experience
One hour (1) access to the mini studio for live content promotion
Storewide marketing and promotion
Weekly sales reporting and payout
4. Sales, Consignment Payout, and Fees:Shop My Closet staff will collect and process all customer purchases on behalf of Seller. Shop My Closet will be responsible for collecting and paying sales taxes on non-clothing items.
Sellers will receive 65% of all sales made from their closet.
Shop My Closet retains 35% of all sales as a service fee.
Payouts are made weekly via Venmo, typically by Friday of the following week. Note: Your unsold items must have been picked up for us to process payment to you.
5. Seller Responsibilities: Seller must price, tag, and organize their items.
Sellers may offer: gently used or new clothing, shoes, handbags, jewelry, accessories, and small household items. All items must be clean, free of animal hair, and odor-free. No exceptions!
Prohibited items:
Electronics
Weapons
Illegal items
Hazardous materials
Counterfeit items
Seller is solely responsible for ensuring items are authentic and legal.
Seller must remove all items by the designated Friday evening take-down time. If Seller is not able to make the designated take-down time on Fridays, Seller can arrange to have Shop My Closet staff take down their items and store them. The charge is $55, which can be paid during the booking or taken from sales proceeds. We do not distribute profits until items have been picked up.
Seller must make sure that the space is cleaned and free of any items. If the space is not clean, there will be an additional cleaning charge of $55. Seller understands that there will be an additional charge of $1 for any missing hangers not returned during take-down.
Seller is not authorized to use tape, nails, tacks, confetti, etc, of any kind in the space. If there are damages to the closet, Seller will be responsible for the full replacement cost of $250.00.
For monthly closet rentals: Seller agrees to check and restock closet weekly.
6. Relationship of Parties: Seller is an independent contractor selling the Products to third-party purchasers. Shop My Closets does not appoint the Seller as its agent or authorize either expressly or impliedly the Seller to hold itself out as ShopMy Closets’ agent and does not convey to the Seller any property interest in Shop My Closets’ company name, trademark, or goods.
7. Liability:Shop My Closet is not responsible for lost, stolen, or damaged merchandise. Seller assumes all risk related to the sale and presence of their merchandise during the rental term.
8. Indemnification:Seller shall indemnify and hold harmless Shop My Closet against any and all damages, fines, suits, claims, demands, expenses, actions, losses or liabilities of any nature made against or incurred by Shop My Closet or its agents, or successors, including, without limitation, reasonable attorneys’ fees and litigation expenses, for damages or claims made by any party as a result of Seller’s actions or inactions in connection with Seller’s use of or presence in the Shop My Closet location.
9. General Terms: This Agreement is governed by the laws of the State of Minnesota.
Booking a closet through our platform serves as an acknowledgment and acceptance of all terms in this Agreement.
